1. Introduction

Welcome to Xchange Solutions, LLC (“Xchange Solutions,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and HR consulting services (collectively, the “Services”), whether you are located in the United States or abroad.

3. Scope of Services

We provide a broad range of HR consulting and related services, including but not limited to:

  • Learning, training, and leadership development programs

  • Performance management and culture transformation

  • HR technology and compliance consulting

Each client engagement will be governed by a separate proposal or agreement specifying deliverables, timelines, and fees.

4. Eligibility

Our Services are available to both businesses and individuals. By using our Services, you represent that you are at least 18 years old and have the legal authority to enter into this agreement in your jurisdiction.

5. Payment Terms

  • All fees and payment schedules will be outlined in your service proposal, contract, or invoice.

  • Payments must be made in U.S. dollars (USD) unless otherwise agreed.

  • Online payments are securely processed through Stripe or other authorized payment processors.

  • International clients are responsible for any applicable currency conversion fees, bank charges, or taxes in their local jurisdiction.

  • Late payments may incur interest or additional charges as permitted by Delaware law.

6. Confidentiality

We maintain strict confidentiality regarding all client and candidate information shared with us. Both parties agree not to disclose confidential or proprietary information except:

  • As required by law, or

  • With prior written consent from the other party.

7. Data Protection and Privacy

We are committed to protecting your privacy. All personal information collected during the provision of our Services will be handled in accordance with our Privacy Policy, applicable U.S. data protection laws, and — where relevant — international data protection regulations such as the EU GDPR or the UK Data Protection Act 2018.

By engaging with our Services, you consent to the transfer and processing of your data in accordance with these standards.

8. Intellectual Property

All intellectual property, methodologies, documents, and materials developed by Xchange Solutions remain our exclusive property unless otherwise agreed in writing.
Clients receive a limited, non-exclusive license to use deliverables solely for internal business purposes.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Xchange Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.

  • Our total liability for any claim shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.

For international clients, liability shall be limited to the maximum extent permitted under both Delaware law and applicable local law.

10. Warranties and Disclaimers

Our Services are provided on an “as is” and “as available” basis.
While we aim to deliver high-quality professional consulting, we do not guarantee specific results, outcomes, or business performance improvements.

11. Termination

Either party may terminate a service agreement by giving written notice, as outlined in the applicable contract.
Upon termination, all outstanding fees for services rendered become due immediately.

12. International Service Provision

For clients outside the United States:

  • Services will be delivered remotely unless otherwise agreed.

  • Any additional taxes, duties, or import/export restrictions are the client’s responsibility.

  • Xchange Solutions operates in accordance with U.S. export control and international compliance laws.

13. Governing Law and Jurisdiction

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law principles.

International clients agree that any disputes will be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, USA, unless otherwise required by mandatory local law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Xchange Solutions, its officers, employees, and affiliates from any claims, losses, or damages arising from your use of our Services, your violation of these Terms, or infringement of any third-party rights.

15. Modifications to Terms

We reserve the right to modify or update these Terms at any time. The most recent version will always be available on our website, with the “Last Updated” date indicated above. Continued use of our Services constitutes your acceptance of the revised Terms.
